Web Create Group (Pty) Ltd<\/strong><\/p>\n

  1. Introduction<\/strong><\/li>\n<\/ol>\n

    These Terms and Conditions (\u201cTerms\u201d) govern the relationship between Web Create Group (Pty) Ltd<\/strong>, registration number 2025\/595845\/07<\/strong> (\u201cWeb Create\u201d, \u201cwe\u201d, \u201cus\u201d or \u201cour\u201d), and any person, business or organisation purchasing, subscribing to, accessing or using services supplied by Web Create (\u201cClient\u201d, \u201cyou\u201d or \u201cyour\u201d).<\/p>\n

    By accepting a quotation, placing an order, signing a Service Schedule, making payment for a Service, activating an account, or continuing to use a Service, the Client agrees to be bound by these Terms and all policies and service-specific terms incorporated into the Agreement.<\/p>\n

      1. Agreement Structure<\/strong><\/li>\n<\/ol>\n

        The agreement between Web Create and the Client (\u201cAgreement\u201d) may consist of:<\/p>\n

          \n
        1. a signed Client Service Schedule or specifically negotiated agreement;<\/li>\n
        2. an accepted quotation, proposal or Service Order;<\/li>\n
        3. an applicable Service Level Agreement (\u201cSLA\u201d);<\/li>\n
        4. service-specific terms;<\/li>\n
        5. the Hosting, Domain and Email Terms;<\/li>\n
        6. the Acceptable Use Policy (\u201cAUP\u201d);<\/li>\n
        7. these Terms and Conditions;<\/li>\n
        8. the Privacy and POPIA Policy; and<\/li>\n
        9. any other document expressly incorporated into the Agreement.<\/li>\n<\/ol>\n

          Where provisions conflict, a specifically negotiated and signed Client Service Schedule takes precedence over a general provision, but only in respect of the matter expressly modified.<\/p>\n

          No SLA entitlement, uptime commitment, guaranteed response time, development allocation or other enhanced service level applies unless expressly included in the Client’s package, quotation, Service Schedule or signed agreement.<\/p>\n

            \n
          1. Services<\/strong><\/li>\n<\/ol>\n

            Web Create may provide services including:<\/p>\n

              \n
            • website design and development;<\/li>\n
            • website hosting and managed hosting;<\/li>\n
            • VPS and server services;<\/li>\n
            • domain registration and management;<\/li>\n
            • DNS services;<\/li>\n
            • SSL\/TLS management;<\/li>\n
            • business email;<\/li>\n
            • website maintenance;<\/li>\n
            • cybersecurity;<\/li>\n
            • backup services;<\/li>\n
            • technical monitoring;<\/li>\n
            • SEO;<\/li>\n
            • Google Business Profile services;<\/li>\n
            • digital marketing;<\/li>\n
            • analytics and reporting;<\/li>\n
            • graphic design and digital content;<\/li>\n
            • e-commerce;<\/li>\n
            • automation;<\/li>\n
            • workflow systems;<\/li>\n
            • APIs and systems integration;<\/li>\n
            • AI-enabled services;<\/li>\n
            • database systems;<\/li>\n
            • file and data services;<\/li>\n
            • technical support; and<\/li>\n
            • other IT or digital services agreed with the Client.<\/li>\n<\/ul>\n

              Only Services expressly included in the applicable quotation, package, invoice, order or Service Schedule are included.<\/p>\n

                \n
              1. Quotations and Orders<\/strong><\/li>\n<\/ol>\n

                Quotations are valid for the period stated on the quotation.<\/p>\n

                A quotation or proposal may be accepted by:<\/p>\n

                  \n
                • written or electronic acceptance;<\/li>\n
                • signature;<\/li>\n
                • payment of a deposit or initial invoice;<\/li>\n
                • placing an order; or<\/li>\n
                • instructing Web Create to commence work.<\/li>\n<\/ul>\n

                  Work outside the agreed scope may be separately quoted or charged at the applicable rate.<\/p>\n

                    \n
                  1. Client Responsibilities<\/strong><\/li>\n<\/ol>\n

                    The Client must:<\/p>\n

                      \n
                    • provide complete and accurate information;<\/li>\n
                    • provide required content, credentials and approvals;<\/li>\n
                    • maintain current authorised contact information;<\/li>\n
                    • respond reasonably promptly where Client input is required;<\/li>\n
                    • maintain secure credentials;<\/li>\n
                    • ensure authorised users appropriately protect account access;<\/li>\n
                    • possess the necessary rights to all content supplied to Web Create;<\/li>\n
                    • comply with applicable laws;<\/li>\n
                    • comply with the AUP;<\/li>\n
                    • pay amounts when due;<\/li>\n
                    • review work submitted for approval;<\/li>\n
                    • notify Web Create promptly of suspected compromise or security incidents; and<\/li>\n
                    • maintain appropriate internal controls over its employees, contractors and users.<\/li>\n<\/ul>\n

                      Web Create is not responsible for delays resulting from missing Client information, approval, payment, access or instructions.<\/p>\n

                        \n
                      1. Fees and Payment<\/strong><\/li>\n<\/ol>\n

                        Fees are specified in the applicable quotation, invoice, package or Service Schedule.<\/p>\n

                        Recurring Services are billed according to the agreed billing cycle.<\/p>\n

                        Payment must be made by the invoice due date.<\/p>\n

                        Where permitted by law, reasonable collection expenses and applicable interest may be charged on overdue amounts.<\/p>\n

                        The Client remains liable for undisputed amounts incurred before cancellation or termination.<\/p>\n

                          \n
                        1. Pricing Changes<\/strong><\/li>\n<\/ol>\n

                          Web Create may reasonably adjust recurring fees due to factors including:<\/p>\n

                            \n
                          • infrastructure costs;<\/li>\n
                          • software licensing;<\/li>\n
                          • domain registry pricing;<\/li>\n
                          • supplier increases;<\/li>\n
                          • exchange-rate changes;<\/li>\n
                          • regulatory requirements;<\/li>\n
                          • security costs;<\/li>\n
                          • third-party platform pricing;<\/li>\n
                          • changes to the Client’s requirements; or<\/li>\n
                          • general annual price adjustments.<\/li>\n<\/ul>\n

                            Notice will be provided where reasonably practicable and where required by law.<\/p>\n

                              \n
                            1. Non-Payment<\/strong><\/li>\n<\/ol>\n

                              Where an account becomes overdue, Web Create may, subject to applicable law and the Agreement:<\/p>\n

                                \n
                              • restrict support;<\/li>\n
                              • suspend hosting;<\/li>\n
                              • suspend email;<\/li>\n
                              • suspend websites;<\/li>\n
                              • suspend development;<\/li>\n
                              • suspend managed services;<\/li>\n
                              • suspend automation or API systems; or<\/li>\n
                              • suspend other affected Services.<\/li>\n<\/ul>\n

                                Suspension does not automatically cancel the Agreement or extinguish outstanding payment obligations.<\/p>\n

                                  \n
                                1. Website Development<\/strong><\/li>\n<\/ol>\n

                                  Website and software development is limited to the agreed scope.<\/p>\n

                                  Unless expressly included, the following may constitute additional work:<\/p>\n

                                    \n
                                  • substantial redesign;<\/li>\n
                                  • new functionality;<\/li>\n
                                  • custom software;<\/li>\n
                                  • new integrations;<\/li>\n
                                  • substantial database changes;<\/li>\n
                                  • major content entry;<\/li>\n
                                  • third-party migrations;<\/li>\n
                                  • custom API development; and<\/li>\n
                                  • functionality requested after approval.<\/li>\n<\/ul>\n

                                    Delivery dates may depend on Client cooperation and third-party availability.<\/p>\n

                                      \n
                                    1. Changes and Approval<\/strong><\/li>\n<\/ol>\n

                                      The Client must review deliverables submitted for approval.<\/p>\n

                                      Approval may be provided electronically.<\/p>\n

                                      Changes requested after approval may constitute additional work.<\/p>\n

                                        \n
                                      1. Intellectual Property<\/strong><\/li>\n<\/ol>\n

                                        12.1 Client Material<\/strong><\/p>\n

                                        The Client retains rights to its pre-existing:<\/p>\n

                                          \n
                                        • trademarks;<\/li>\n
                                        • logos;<\/li>\n
                                        • photographs;<\/li>\n
                                        • text;<\/li>\n
                                        • data;<\/li>\n
                                        • databases;<\/li>\n
                                        • documents; and<\/li>\n
                                        • other material supplied to Web Create.<\/li>\n<\/ul>\n

                                          12.2 Web Create Intellectual Property<\/strong><\/p>\n

                                          Web Create retains ownership of its pre-existing and reusable:<\/p>\n

                                            \n
                                          • source code;<\/li>\n
                                          • software;<\/li>\n
                                          • code libraries;<\/li>\n
                                          • frameworks;<\/li>\n
                                          • templates;<\/li>\n
                                          • scripts;<\/li>\n
                                          • automation components;<\/li>\n
                                          • AI configurations;<\/li>\n
                                          • development tools;<\/li>\n
                                          • processes;<\/li>\n
                                          • methodologies;<\/li>\n
                                          • documentation;<\/li>\n
                                          • know-how; and<\/li>\n
                                          • systems.<\/li>\n<\/ul>\n

                                            12.3 Client-Specific Deliverables<\/strong><\/p>\n

                                            Ownership and licensing of custom deliverables are determined by the applicable quotation or Service Schedule.<\/p>\n

                                            Transfer of agreed ownership rights may be conditional upon full payment.<\/p>\n

                                            12.4 Third-Party Products<\/strong><\/p>\n

                                            Third-party software, themes, plugins, fonts, photographs, APIs and other products remain subject to their respective licences and terms.<\/p>\n

                                              \n
                                            1. Hosting, Domains and Email<\/strong><\/li>\n<\/ol>\n

                                              Hosting, domains, DNS and email are additionally governed by the Web Create Hosting, Domain and Email Terms<\/strong>.<\/p>\n

                                                \n
                                              1. Acceptable Use<\/strong><\/li>\n<\/ol>\n

                                                All Clients must comply with the Web Create Acceptable Use Policy<\/strong>.<\/p>\n

                                                  \n
                                                1. Service Levels<\/strong><\/li>\n<\/ol>\n

                                                  Service levels depend on the package purchased.<\/p>\n

                                                  Unless an SLA is expressly included, support is provided on a reasonable-efforts basis and Web Create makes no contractual commitment to a particular response, restoration or resolution time.<\/p>\n

                                                    \n
                                                  1. Backups<\/strong><\/li>\n<\/ol>\n

                                                    Backup services vary according to package.<\/p>\n

                                                    Unless expressly specified, Web Create does not guarantee a particular:<\/p>\n

                                                      \n
                                                    • backup frequency;<\/li>\n
                                                    • retention period;<\/li>\n
                                                    • recovery point;<\/li>\n
                                                    • recovery time; or<\/li>\n
                                                    • successful restoration.<\/li>\n<\/ul>\n

                                                      Clients should maintain independent copies of business-critical information unless Web Create has expressly contracted to assume that responsibility.<\/p>\n

                                                        \n
                                                      1. Security<\/strong><\/li>\n<\/ol>\n

                                                        Web Create implements reasonable security measures appropriate to the Services.<\/p>\n

                                                        No internet-connected system can be guaranteed to be completely secure.<\/p>\n

                                                        Where Web Create reasonably suspects compromise or an immediate security threat, it may take protective action including:<\/p>\n

                                                          \n
                                                        • blocking access;<\/li>\n
                                                        • resetting credentials;<\/li>\n
                                                        • disabling SMTP;<\/li>\n
                                                        • quarantining files;<\/li>\n
                                                        • removing malicious files;<\/li>\n
                                                        • disabling vulnerable software;<\/li>\n
                                                        • isolating an account;<\/li>\n
                                                        • blocking network traffic; or<\/li>\n
                                                        • temporarily suspending affected Services.<\/li>\n<\/ul>\n
                                                            \n
                                                          1. Third-Party Services<\/strong><\/li>\n<\/ol>\n

                                                            Web Create Services may depend on third-party providers including:<\/p>\n

                                                              \n
                                                            • domain registries;<\/li>\n
                                                            • data centres;<\/li>\n
                                                            • cloud infrastructure;<\/li>\n
                                                            • software vendors;<\/li>\n
                                                            • payment gateways;<\/li>\n
                                                            • certificate authorities;<\/li>\n
                                                            • Google;<\/li>\n
                                                            • Meta;<\/li>\n
                                                            • Microsoft;<\/li>\n
                                                            • WhatsApp;<\/li>\n
                                                            • external APIs; and<\/li>\n
                                                            • telecommunications providers.<\/li>\n<\/ul>\n

                                                              Web Create cannot guarantee the continued availability, pricing, policies or functionality of independently controlled third-party systems.<\/p>\n

                                                                \n
                                                              1. AI and Automation<\/strong><\/li>\n<\/ol>\n

                                                                Web Create may provide AI-enabled and automated systems.<\/p>\n

                                                                AI output may contain inaccuracies.<\/p>\n

                                                                The Client should maintain appropriate human oversight over business-critical decisions unless Web Create has expressly contracted to provide such oversight.<\/p>\n

                                                                Web Create does not intentionally use Client confidential information to train publicly available AI models unless authorised or otherwise lawfully agreed.<\/p>\n

                                                                  \n
                                                                1. SEO and Digital Marketing<\/strong><\/li>\n<\/ol>\n

                                                                  Web Create does not guarantee:<\/p>\n

                                                                    \n
                                                                  • search rankings;<\/li>\n
                                                                  • website traffic;<\/li>\n
                                                                  • enquiries;<\/li>\n
                                                                  • sales;<\/li>\n
                                                                  • advertising approval;<\/li>\n
                                                                  • Google Business Profile approval;<\/li>\n
                                                                  • social-media reach; or<\/li>\n
                                                                  • continued placement on third-party platforms.<\/li>\n<\/ul>\n
                                                                      \n
                                                                    1. Confidentiality<\/strong><\/li>\n<\/ol>\n

                                                                      Each party must reasonably protect confidential information received from the other and use it only for legitimate purposes connected with the Agreement unless disclosure is authorised or legally required.<\/p>\n

                                                                        \n
                                                                      1. Personal Information<\/strong><\/li>\n<\/ol>\n

                                                                        Personal information is processed in accordance with the Web Create Privacy and POPIA Policy<\/strong> and applicable South African law.<\/p>\n

                                                                          \n
                                                                        1. Limitation of Liability<\/strong><\/li>\n<\/ol>\n

                                                                          To the maximum extent permitted by law, Web Create is not liable for indirect, consequential or special loss, including loss of profits, revenue, opportunity or anticipated savings.<\/p>\n

                                                                          Nothing in these Terms excludes rights or liability that cannot lawfully be excluded.<\/p>\n

                                                                          Where an applicable SLA provides service credits, those credits constitute the contractual remedy for the relevant SLA failure, subject to applicable law.<\/p>\n

                                                                            \n
                                                                          1. Indemnity<\/strong><\/li>\n<\/ol>\n

                                                                            To the extent permitted by law, the Client indemnifies Web Create against third-party claims resulting from:<\/p>\n

                                                                              \n
                                                                            • unlawful Client content;<\/li>\n
                                                                            • infringement caused by Client-supplied material;<\/li>\n
                                                                            • unlawful use of Services;<\/li>\n
                                                                            • Client breach of the AUP;<\/li>\n
                                                                            • Client instructions; or<\/li>\n
                                                                            • activities performed through the Client’s account.<\/li>\n<\/ul>\n
                                                                                \n
                                                                              1. Cancellation<\/strong><\/li>\n<\/ol>\n

                                                                                Cancellation terms may vary by Service and Client type.<\/p>\n

                                                                                Where the Consumer Protection Act or other applicable legislation grants the Client cancellation rights, those rights remain unaffected.<\/p>\n

                                                                                Any cancellation fee imposed where permitted by law must comply with applicable legal requirements.<\/p>\n

                                                                                  \n
                                                                                1. Termination and Data<\/strong><\/li>\n<\/ol>\n

                                                                                  Following termination:<\/p>\n

                                                                                    \n
                                                                                  • outstanding amounts remain payable;<\/li>\n
                                                                                  • Services may cease;<\/li>\n
                                                                                  • included software licences may terminate;<\/li>\n
                                                                                  • Web Create management responsibilities end;<\/li>\n
                                                                                  • hosted information may be deleted in accordance with the Hosting Terms; and<\/li>\n
                                                                                  • the Client should arrange migration\/export before termination.<\/li>\n<\/ul>\n
                                                                                      \n
                                                                                    1. Force Majeure<\/strong><\/li>\n<\/ol>\n

                                                                                      Neither party is liable for failure caused by circumstances reasonably beyond its control.<\/p>\n

                                                                                        \n
                                                                                      1. Governing Law<\/strong><\/li>\n<\/ol>\n
